Terms and Conditions

Please read these terms carefully before using our services.

Review Date: July 22, 2025. These Terms of Service (these “Terms”) govern your use of

the Osleria website (the “Site”), the Osleria AI platform, and the associated tools (collectively, the “Service”)

made available by ScreenApp (“ScreenApp”, “our”, “us” or “we”). Your use of the Site and/or your registration to

use the Service indicates that you accept, on your own behalf or on behalf of the entity you represent

(collectively, “you”), to be bound by these Terms, as well as the Osleria Privacy Policy. Please read these

Terms carefully before registering or using the Osleria Service.

I. Summary

Osleria provides a video messaging platform. Osleria is offered through the following service plans or offerings.

Free. For individuals wishing to explore the basic capabilities of our medical artificial intelligence,

the Free plan is available at no cost upon registration and creation of a user account. This plan includes

100 tokens to perform limited interactions with the AI. Each processed message consumes 1 token, and each

audio transcription consumes 10 tokens. Once tokens are consumed, the user may choose to upgrade to a paid

plan to continue using the service.

Standard. For professionals and teams requiring continued use of the system with greater operational capacity,

the Standard plan is available through a monthly subscription of €50. This plan includes 2,000 tokens per month,

renewable with each billing cycle. Tokens allow for interactions with the AI and processing transcriptions,

under the same consumption policy (1 token per interaction, 10 tokens per transcription). Ideal for more consistent

clinical use or integration into a consultation routine.

Pro. Designed for users requiring daily, intensive use without operational limitations, the Pro plan is available

for €150 per month. This plan includes 10,000 monthly tokens, with priority access to the AI, greater analytical

capacity, expanded reporting and storage functionalities, and preferred support. It is the recommended option for

those integrating AI as a fundamental part of their workflow or ongoing project.

By registering for an Osleria account, you acknowledge that your organization’s account administrator has control

and access to Your Content (as defined below). Furthermore, you (1) agree to comply with your organization’s terms

and policies regarding your use of the Service; (2) acknowledge your organization’s ability to monitor, restrict,

or terminate your access or that of other users to Your Content; and (3) acknowledge your organization’s ownership

of the Osleria account.

II. Registration

Use of the Service requires registration in Osleria. When registering, you will be asked to provide certain personal

information, including your name and email address, and to set up a username and password, all of which will be subject

to our Privacy Policy. You are responsible for all activities that occur under your account and for keeping your password

and login information secure. You agree that (1) you will monitor your account, (2) you will not share your account or

password with anyone, and (3) you will notify Osleria immediately of any unauthorized use of your account or password,

or any other security breach. You agree to provide true, accurate, and complete information as requested in our registration

process. You also agree to promptly update such information as necessary to keep it current and accurate.

III. Payment

If you register for Osleria’s paid subscription plans, you agree to pay all fees or charges to your account for the Service

in accordance with the applicable fees, charges, and billing terms in effect at the time each fee or charge becomes due and

payable. Unless otherwise stated in an order form, you must provide Osleria with a valid credit card (Visa, MasterCard, or any

other issuer accepted by us) (“Payment Provider”) as a condition of registering for Osleria’s subscription plans. Your agreement

with the Payment Provider governs your use of the designated credit card account, and you should refer to that agreement—not these

Terms—to determine your rights and obligations regarding your Payment Provider.

By providing Osleria with your credit card number and associated payment information, you agree that Osleria is authorized

to verify the information immediately and subsequently charge your account all due and payable fees and charges to Osleria

under this agreement without further notice or consent. You agree to notify Osleria immediately of any changes in your

billing address or the credit card used for payment hereunder. Osleria reserves the right to change its prices and billing

methods at any time, either immediately after posting them on our Site or by delivering notice via email to your

organization’s administrator(s). Any attorney fees, court costs, or other costs incurred in collecting undisputed overdue

amounts shall be your responsibility and payable by you. All Service fees are non-refundable. No contract shall exist

between you and Osleria for the Service until Osleria accepts your order by email confirmation, SMS/MMS message, or other

appropriate means of communication. You are responsible for any third-party fees you may incur while using the Service.

IV. Changes and Your Service Cancellation

You acknowledge and agree that Osleria may discontinue (permanently or temporarily) the Service (or any feature within

the Service) at its sole discretion, without prior notice (except that if you are an Osleria subscription customer,

Osleria will notify you and not charge for any Service not received). You may stop using the Service at any time. You

do not need to specifically inform Osleria when you stop using the Service. You acknowledge and agree that if Osleria

disables access to your account, you may be prevented from accessing the Service, your account details, or any files or

other material contained in your account.

V. User Conduct, Commitments, and Understandings

These terms govern access and use of the application developed by Osleria, whose purpose is to assist medical professionals

through artificial intelligence tools to improve efficiency in consultation, note-taking, prescription generation, and

automated audio transcription (with prior patient consent).

• The use of the application implies full and unconditional acceptance of these terms by the user.

• The app is intended exclusively for healthcare professionals legally authorized to practice medicine. Use by private

individuals, patients, or unauthorized third parties is strictly prohibited.

• You agree not to access (or attempt to access) any of the Services by any means other than through the interface provided

by Osleria, unless you have been specifically permitted to do so in a separate agreement with Osleria.

You, directly or indirectly, alone or with any other party, may not:

1. modify, alter, create derivative works of, disassemble, decompile, or reverse engineer the Service or any software

provided in connection with the Service (“Software”), or remove proprietary legends in the Service or Software;

2. distribute, transfer, resell, rent, lease, or lend the Service or Software to any other party, except as described herein;

3.make the Service or Software available to others under a service bureau arrangement or for any similar commercial

time-sharing or third-party training use;

4. harass, threaten, or cause distress, unwanted attention, or discomfort to any person or entity;

5.send any unsolicited commercial email, spam, or mass marketing email;

6. impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity;

7. violate (intentionally or not) any applicable local, state, national, or international law, including but not limited to

any regulation having the force of law; or

8. interfere with or disrupt the Service or Software, or the servers or networks connected to the Software, or disobey any

requirements, procedures, policies, or regulations of the networks connected to the Service or Software.

9. perform diagnoses or prescribe treatments using the AI alone, but use it solely as a clinical decision-support tool.

The application includes, among other functionalities: automated medical note generation; consultation transcription via

recording (with prior patient consent); assistance in drafting medical prescriptions; tools for organizing clinical history

and medical schedule. The recording functionality is intended exclusively to automatically transcribe content and assist in

clinical note creation. This tool is designed to streamline the healthcare professional’s workflow, without replacing medical

judgment at any time.

• Before initiating any recording, the professional must inform the patient and obtain express consent, preferably in writing

or through the digital record enabled within the app.

• Consent must include that the conversation will be recorded solely for medical purposes, that it will be automatically

transcribed by AI, that the recorded content will not be shared with third parties nor used for commercial purposes, and that

the patient may revoke consent at any time.

• The patient has the right to refuse recording, and the consultation may continue traditionally without any negative impact

on medical care.

• Recordings and transcriptions are not stored permanently unless explicitly indicated by the professional. They are processed

in compliance with the General Data Protection Regulation (GDPR) and other applicable laws, hosted on secure servers with

end-to-end encryption.

Furthermore:

• The artificial intelligence (AI) application developed by our team does not replace clinical judgment or the professional

responsibility of the physician. Its use is intended as a technological support to improve healthcare efficiency, offering

functionalities such as automatic consultation transcription, structured note-taking, and generation of potential medical

documents.

• The medical professional is solely responsible for interpreting, validating, or disregarding suggestions and results provided

by the AI. Any clinical action, diagnosis, or prescription derived from a consultation remains under the exclusive competence

of the physician.

• The tool’s developer assumes no responsibility for medical decisions made based on AI-generated results or suggestions,

nor for any direct or indirect consequence resulting from misuse, misinterpretation, or use outside the appropriate

clinical context.

• The AI does not perform diagnoses or prescribe treatments by itself but acts as a clinical decision-support tool.

• The user agrees to use the application properly, ethically, and in accordance with the law.

• The user agrees not to introduce false or erroneous patient information.

• The user agrees to ensure they have obtained informed patient consent when recording audio or managing patient data.

• The user agrees to maintain the confidentiality of their access credentials.

• Osleria is not responsible for clinical decisions made by professionals nor for misuse of the application. The AI does

not replace medical judgment or assume any clinical liability.

• All app content, algorithms, designs, databases, and functionalities are the property of Osleria, and their reproduction,

distribution, or unauthorized use is prohibited.

• Access to certain functionalities may be subject to subscription plans. Osleria reserves the right to modify prices,

terms, and usage models, providing reasonable notice to users.

• Osleria may modify these Terms and Conditions at any time. Modifications will be notified to registered users and will be

considered accepted if they continue using the service.

• You agree that you are solely responsible (and that Osleria has no responsibility to you or any third party) for any

breach of your obligations under these Terms and for the consequences (including any loss or damage Osleria may suffer)

of such breach. To the extent Osleria incurs financial penalties or other costs and expenses (including investigation expenses)

from its server hosting providers, Internet service provider, or other providers due to your use of the Software, you will be

required to immediately reimburse Osleria for such penalties, costs, or expenses.

• You understand that all information (such as data files, written text, computer software, music, audio files or other sounds,

photographs, videos, or other images) that you may access as part of or through your use of the Service is the sole responsibility

of the person from whom such materials originated, which may be you.

• While Osleria makes reasonable efforts to include accurate and up-to-date information on the Site, Osleria makes no warranties

or representations as to its accuracy. Osleria assumes no responsibility for any error or misrepresentation in the content

available on the Site (the “Content”).

• While Osleria maintains appropriate administrative, physical, and technical safeguards designed to protect the security of

the Services and data according to Osleria’s security standards, you are responsible for maintaining the security of your

account, passwords (including but not limited to administrative and User passwords), and videos, and for all uses of your account.

• The Site may contain links to other Internet sites owned and operated by External Providers and other third parties

(“External Sites”). You acknowledge that Osleria is not responsible for the availability of or materials located on or through

any External Site. You should contact the site administrator or webmaster of those External Sites if you have any concerns

about such links or materials located there.

• You acknowledge that by accessing the Site, you may encounter Content that you find harmful, offensive, threatening, indecent,

or objectionable, and you acknowledge that Osleria shall have no liability to you for such Content, including but not limited

to explicit language and other potentially offensive material. You agree not to impersonate any person or communicate under a

false name or a name you are not entitled or authorized to use. Osleria has the right (but not the obligation) to remove,

prohibit, edit, or discontinue any Content on the Site, including Content posted by users.

• You retain exclusive ownership of any Content you post or any other material you submit using the Service (“Your Content”).

You hereby grant Osleria and its affiliates a revocable, worldwide, royalty-free, non-exclusive, and sublicensable license to

use, reproduce, and display Your Content solely for the purpose of providing you the Service. Osleria will not use Your Content

for any other purpose nor distribute Your Content to any third party without your permission. You represent and warrant that

Your Content will be your original work product and will not be based on or derived from proprietary information or materials

of any third party. Furthermore, you represent and warrant that your use of the Service in connection with Your Content or any

third-party content complies with all laws, including but not limited to copyright law. You also hereby grant each user of the

Service a non-exclusive license to access Your Content through the Service. The licenses granted in Your Content terminate within

a commercially reasonable time after you delete or remove Your Content from the Service; however, you understand, acknowledge,

and agree that Osleria may retain, but not display, server copies of Your Content that have been deleted or removed. You grant

Osleria and its affiliates a perpetual and irrevocable license to use and display any comments you submit through the Service.

You will defend, indemnify, and hold harmless Osleria and its affiliates from and against any claim resulting from any

of Your Content.

• At its discretion, you may provide feedback to Osleria regarding the functionality and performance of the Service from time

to time, including, without limitation, identifying possible errors, improvements, modifications, bug fixes, or enhancements

(“Feedback”). If you, through evaluation or otherwise, suggest any Feedback, you hereby assign ownership of all Feedback to

Osleria. In the event ownership of Feedback cannot be granted to Osleria, you grant Osleria a worldwide, perpetual,

irrevocable, royalty-free license and right to use, reproduce, disclose, sublicense, distribute, modify, and exploit such

Feedback without restriction. You agree that Osleria may disclose such Feedback to any third party in any manner and that

Osleria has the right to sublicense all Feedback in any form to any third party without restriction.

• The Site may contain areas where additional terms and conditions apply. For purposes of using such areas, in the event of a

conflict between the terms and conditions of such areas and these Terms, the terms and conditions of the other area shall

prevail. Osleria may revise these Terms at any time by updating this posting. You are subject to such revisions and

therefore should periodically visit this page to review the current Terms to which you are bound.

• You shall not transmit to Osleria or upload to this Site any Harmful Code or use or misuse data from this Site for

your own commercial benefit. “Harmful Code” means any software (sometimes referred to as “viruses”, “worms”, “Trojan horses”,

“time bombs”, “time locks”, “kill switches”, “traps”, “access codes”, “cancelbots”, or “backdoors”) that: (a) is intentionally

designed to damage, disrupt, disable, impair, interfere with, intercept, expropriate, or otherwise prevent, any data, storage

medium, program, system, equipment, or communication, based on any event, including but not limited to (i) exceeding a number

of copies, (ii) exceeding a number of users, (iii) passage of time, (iv) advancement to a specific date or numeral, or (v)

use of a certain feature; or (b) would enable an unauthorized person to cause such result; or (c) would enable an unauthorized

person to access another person’s information without that person’s knowledge and consent.

You may not use your username and password for any unauthorized purpose.

Osleria has the right to:

• Restrict the account in case of sharing it with more users than yourself.

Our platform incorporates artificial intelligence technologies designed to assist healthcare professionals in organizing,

transcribing, and managing medical information, without issuing diagnoses or making automatic clinical decisions. Therefore,

it is classified as a low-risk AI system under the European Artificial Intelligence Regulation (AI Act).

In accordance with this regulation and in compliance with the principles of transparency, safety, and human oversight, we inform you that:

• The user will be notified at all times when interacting with an AI-based system.

• The system does not in any case replace professional medical judgment nor provide automated diagnoses or personalized

clinical recommendations.

• AI-based functionalities are subject to human supervision, and users have the right to review, correct, or disregard

any automatically generated suggestion.

• Measures are in place to minimize risks arising from errors, algorithmic biases, or misuse.

These terms are governed by Spanish law. Any dispute shall be resolved before the courts of the application holder’s

domicile or the user’s domicile, as determined by applicable law.
